Who Modus Is For
Modus is a business management and social media operations platform designed for:
• Social Media Managers and Marketers
• Freelancers and agencies
• Their clients who are invited into client portals
You must be at least 18 years old to use Modus.

Accounts and Access
• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activity that occurs under your account.
• You agree to provide accurate, current, and complete information.
• We may suspend or terminate accounts that violate these Terms.

Client Accounts & Third-Party Access
If you invite clients or team members:
• You are responsible for managing their permissions.
• You confirm you have the authority to share content, data, and social accounts with them.
• Modus is not responsible for disputes between you and your clients.

Connected Social Media Accounts
Modus allows you to connect third-party platforms such as Instagram, Facebook, X (Twitter), LinkedIn, TikTok, Pinterest, Threads, YouTube and Google Business Profiles.
• You authorize Modus to access these accounts solely to provide the Service.
• Your use of those platforms remains subject to their own terms.
• Modus is not responsible for platform outages, API limitations, or changes imposed by third parties.

Content Ownership
You own your content.
• You retain ownership of all text, media, captions, analytics data, and client materials you upload.
• By using Modus, you grant us a limited, non-exclusive license to host, process, and display your content solely to operate the Service.
• We do not claim ownership of your intellectual property.

AI-Generated Features
Modus may provide AI-powered suggestions (e.g. captions, hashtags, optimizations).
• These outputs are suggestions only, not guarantees of performance.
• You are responsible for reviewing and approving all content before publishing.
• Modus is not liable for errors, inaccuracies, or outcomes resulting from AI-generated content.

Payments, Billing & Subscriptions
If you purchase a paid plan:
• Fees are billed in advance and are non-refundable unless required by law.
• You authorize us (or our payment processor) to charge your payment method.
• We may change pricing with reasonable notice.
Failure to pay may result in suspension or termination of access.

Acceptable Use
You agree not to:
• Use Modus for unlawful, harmful, or abusive activities
• Upload content you do not have rights to
• Attempt to reverse engineer or misuse the platform
• Interfere with system security or performance

Suspension & Termination
We may suspend or terminate your access if:
• You violate these Terms
• Your use creates legal or security risk
• Required by law or platform partners
You may stop using Modus at any time.

• We do not guarantee uninterrupted or error-free service.
• Features may change or be discontinued as the product evolves.

Limitation of Liability
To the maximum extent permitted by law:
• Modus shall not be liable for indirect, incidental, or consequential damages.
• Our total liability will not exceed the amount you paid to Modus in the past 12 months.
